LICENSE OF PUBLISHING RIGHTS Agreement as of the _________ day of______________, 2006 Between
_______________________________________________________ Located
at______________________________________________________ (Hereinafter referred to as the “Client”) and Randy
Benjamin, located at 60 Thompson Drive, Vincennes, IN 47591 (Hereinafter
referred to as the “Author”) with respect to the licensing of certain rights
in the Author’s writing (Hereinafter referred to as the “Work”). Please

phone at (812) 887-2440 Description of Work: The Client wishes to license certain rights in the
Work which the Author has created and which is described as follows: Title: Internet Guide. This is a weekly
series of articles averaging between 590 and 610 words per article. The
subject matter of the articles revolves around the Internet and all of its
related facets. It is intended to be a guide to both new and experienced
users helping them to find their way through the maze we call the Internet. Delivery Date: The Author agrees to deliver said articles in the
Internet Guide series by E-mail. Articles can easily be cut and pasted into
the client’s page layout software. These articles will be emailed
weekly. Grant of Rights: Upon receipt of full payment, Author grants to the
Client the following rights in the Work: To print the Work one time only in the Client’s
newspaper or periodical. Additional printing or printing in other
publications owned by the Client will require additional licensing and
compensation. With respect to the usage shown above, the Client
shall have nonexclusive rights to the work. The Work is a nationally
syndicated series. Reservation of Rights: All rights not expressly granted hereunder are
reserved to the Author, including but not limited to all rights in
preliminary materials and all electronic rights. For purposes of this
agreement, electronic rights are defined as rights in the digitized form of
works that can be encoded, stored, and retrieved from such media as computer
disks, CD-ROM, computer databases, and network servers. Fees: Client agrees to pay the following for the rights
granted. The license fee for the Internet Guide series is $5.00 per article
for daily newspapers. Total cost for the print rights to the fifty two
articles is $260.00. Daily newspapers in towns with less than 5,000 population are billed at one half the standard rate
$130.00. Weekly newspapers are billed $50.00 reflecting their smaller
circulation and advertising revenue. Additional Usage: If Client wishes to make any additional uses of the
Work, Client agrees to seek permission from the author and make such payments
as are agreed to between the parties at that time. Payment: Client agrees to pay the Author within thirty days
of the date of Author’s billing, which shall be dated as of the date of the
delivery of the Work. Copyright Notice: Copyright notice in the name of the Author shall
accompany the work when it is reproduced. Authorship Credit: Authorship credit in the name of the Author shall
accompany the work when it is reproduced. If the work is used as a
contribution to a magazine or for a book, authorship credit shall be given. Releases: The Client agrees to indemnify and hold harmless
the Author against any and all claims, costs, and expenses, including
attorney’s fees, due to the uses for which no release was requested, uses
which exceed the uses allowed pursuant to a release, or uses based on
alterations not allowed pursuant to Paragraph 7. Miscellany: This Agreement shall be binding upon the parties
hereto, their heirs, successors, assigns, and personal representatives. This
Agreement constitutes the entire understanding between the parties. Its terms
can be modified only by an instrument in writing signed by both parties. A
waiver of a breach of any of the provisions of this Agreement shall not be
construed as a continuing waiver of other breaches of the same or other
provisions hereof. This Agreement shall be governed by the laws of the State
